Welcome to ChallengeRate — India's premier B2B wholesale marketplace. This agreement governs your relationship with the Platform as a registered Manufacturer. By completing registration, you electronically accept all terms herein, which are as legally binding as a physical signature.
1. About This Agreement
This document constitutes a legally binding agreement between ChallengeRate ("Platform", "we", "us") and any manufacturer ("Manufacturer", "you", "your") who registers to list and sell products on the Platform.

2. Definitions
- Platform: The ChallengeRate website, mobile applications, and all related services
- Products: Goods or stock listed by the Manufacturer for wholesale sale on the Platform
- Buyer: Retailers, bulk buyers, or other business entities purchasing through the Platform
- Order: A purchase request placed by a Buyer for the Manufacturer's listed products
- Transaction: The complete process from order placement through to payment settlement
- Commission: The service fee charged by the Platform for facilitating transactions
3. Manufacturer Eligibility & Registration
3.1 Eligibility Requirements
To register as a Manufacturer, you must:
- Be a registered business entity within India with valid GST registration
- Have the legal authority to manufacture and/or distribute the listed products
- Be at least 18 years of age or the legal adult age in your jurisdiction
- Provide accurate, complete, and verifiable business information
3.2 Account Responsibilities
By registering, you agree to:
- Provide true, accurate, and complete information during and after registration
- Maintain the security and confidentiality of your account credentials
- Notify Challenge Rate immediately of any unauthorised access to your account
- Accept full responsibility for all activities conducted through your account
3.3 Verification
ChallengeRate reserves the right to verify your business documentation at any time, including GST registration certificates, manufacturing licences, and trade certifications. Failure to produce valid documentation may result in suspension or termination of your account.
4. Manufacturer Responsibilities
4.1 Product Listings
- Provide complete, accurate, and up-to-date product descriptions, specifications, images, and pricing
- Use clear, authentic images that accurately represent the actual product
- List products under appropriate categories and maintain real-time stock availability
- Comply strictly with all applicable laws and platform listing guidelines
4.2 Product Quality & Authenticity
You warrant that all products listed on the Platform:
- Are 100% genuine, authentic, and free from counterfeiting
- Comply fully with applicable quality standards, safety regulations, and labelling requirements
- Do not infringe on any third-party intellectual property rights
- Are accompanied by all necessary rights and permissions for sale
4.3 Pricing & Minimum Order Quantity (MOQ)
- Set competitive, transparent wholesale prices that accurately reflect the product's value
- Honour the displayed price at the time an order is placed by the Buyer
- Clearly communicate and maintain Minimum Order Quantity (MOQ) on all listings
- Provide at least 24 hours advance notice before implementing any price changes
4.4 Order Fulfilment
- Process and confirm all orders within 24 hours of receipt
- Use secure, robust packaging appropriate for the product and transit requirements
- Dispatch orders within the timeframe specified on the listing or agreed with the Buyer
- Provide accurate, real-time tracking information for all shipments
4.5 Customer Communication
- Respond to all Buyer enquiries within 24 hours
- Maintain professional, courteous, and respectful conduct at all times
- Never share personal contact information or solicit direct (off-platform) transactions with Buyers
- Handle complaints and grievances promptly and professionally
5. Prohibited Activities
You shall not, at any time:
- List illegal, prohibited, or counterfeit products on the Platform
- Engage in fraud, misrepresentation, or any deceptive practices
- Manipulate, fabricate, or incentivise product reviews or ratings
- Attempt to avoid or circumvent Platform commission fees
- Misuse, share, or exploit Buyer personal information for unauthorised purposes
- Solicit or conduct direct transactions with Buyers obtained through the Platform, bypassing the Platform
- Upload harmful, offensive, or unlawful content to the Platform
- Engage in price manipulation, collusion, or anti-competitive practices
- Infringe on the intellectual property rights of any party
6. Platform Services & Commission
6.1 Services Provided
ChallengeRate provides the following to registered Manufacturers:
- Online B2B marketplace infrastructure with access to verified Buyers
- Secure payment processing and escrow services
- Order management dashboard and analytics tools
- Marketing and promotional support
- Dispute resolution mechanism
- Dedicated seller support team
6.2 Commission Structure
- Commission is charged on each successful transaction, calculated on the total order value (excluding shipping and taxes)
- Commission is automatically deducted from settled payments
- Specific commission rates will be communicated clearly during onboarding
- ChallengeRate will provide 30 days advance written notice of any changes to commission rates
6.3 Additional Fees
Fees for premium or value-added services (such as promotional placements) will be communicated clearly in advance and are separate from standard commission.
7. Payment Terms
7.1 Payment Process
- All payments are processed through ChallengeRate's secure escrow system
- Payments are released after successful delivery and Buyer acceptance
- Settlement typically occurs within 7–14 business days via NEFT, RTGS, IMPS, or UPI
- Timeline may vary based on your seller tier and performance rating
7.2 Payment Hold Conditions
ChallengeRate may temporarily hold payments in the following circumstances:
- An active dispute or complaint is ongoing
- Suspected fraud or policy violation under investigation
- A refund or return process is underway
- Required by applicable law or regulatory authority
7.3 Tax Compliance
- You are solely responsible for compliance with all applicable taxes, including GST
- Tax reports will be made available on your Seller Dashboard for filing purposes
- Issuing valid tax invoices in accordance with Indian tax law is mandatory for all transactions
8. Returns, Refunds & Cancellations
8.1 Return Acceptance
- Returns must be accepted for all defective, damaged, or incorrectly delivered products
- A 7–14 day return window typically applies after delivery
- Return shipping costs for quality-related issues must be borne by the Manufacturer
8.2 Refund Processing
- Refunds must be processed within 7 business days of receiving and verifying returned goods
- Refunds will be made through the Buyer's original payment method
8.3 Order Cancellations
- Cancellations may be accepted before shipping under valid circumstances
- Repeated or unjustified cancellations may result in penalties or delisting
- A clear reason must be provided for every cancellation request
9. Intellectual Property
You retain ownership rights to your product images, descriptions, and brand content. By listing on the Platform, you grant ChallengeRate a worldwide, non-exclusive, royalty-free licence to use such content for Platform operations and marketing. You warrant that you hold all necessary rights to use and publish this content. ChallengeRate retains full and exclusive rights to its website, design, software, and all Platform content. Use of ChallengeRate trademarks, logos, or branding requires prior written permission.
10. Mandatory Operational Conditions
⚠ Important
The conditions in this section are strictly enforced. Non-compliance may result in penalties, listing suspension, or account termination.
10.1 Transport & Packaging Liability
If goods are damaged during transit, liability is determined as follows:
- Damage due to inadequate packaging: full responsibility lies with the Manufacturer
- Damage due to delivery partner error: responsibility lies with the logistics partner
- ChallengeRate assumes no financial liability for transit damage in either scenario
10.2 Credit Sales Policy
If you extend credit to Buyers directly through the Platform:
- Full financial responsibility for all such credit transactions remains with the Manufacturer
- ChallengeRate assumes no liability for non-payment or recovery under credit transactions
- You are strongly advised to conduct credit verification of Buyers before extending credit
10.3 Platform Bypass & Penalty Policy
Conducting direct transactions with Buyers sourced through ChallengeRate, outside the Platform, constitutes a serious breach of this Agreement and may result in:
- A penalty equivalent to 3x the missed commission on the estimated transaction value
- Immediate account suspension or permanent termination
- ChallengeRate reserves the right to initiate legal proceedings for breach of this clause
10.4 Order Acceptance Timeframe
- All orders must be accepted or rejected within 24 hours of receipt, with a clear reason provided
- 3 instances of delayed response will result in a formal warning
- Continued non-compliance after warning may result in product delisting or account suspension
10.5 Dispatch Timeframe
- Goods must be dispatched within the timeframe specified at the time of listing or order confirmation
- 3 instances of unjustified dispatch delays may result in penalties or listing removal
- Timely dispatch is a key factor in your Seller Performance Rating
10.6 Return Acceptance Obligations
- Returns must be accepted within the specified timeframe; refusal requires a valid reason
- Return status must be reviewed and updated within 48 hours of receiving the goods
- Repeated, unjustified return refusals may attract penalties
10.7 Quality Issue Responsibility
If quality defects are confirmed in delivered products:
- The Manufacturer bears the full cost of return shipping (both ways)
- A full refund to the Buyer is mandatory upon quality confirmation
- Repeated quality issues may result in account suspension
10.8 Sample Verification Requirement
- New product listings require submission of a physical sample to ChallengeRate within 3 business days of upload
- Samples are required for quality and pricing verification before listing approval
- Courier charges for sample submission are the Manufacturer's responsibility
- Listings will be activated within 5 business days of sample receipt and approval
10.9 Professional Conduct with Customers
- Professional, courteous, and cooperative conduct is mandatory in all Buyer interactions
- Rude, insulting, or inappropriate language will not be tolerated
- Account suspension may occur after a first serious complaint; a permanent ban after two serious violations
10.10 Quality & Pricing Maintenance
- Maintaining consistent quality and competitive pricing over time is your responsibility
- ChallengeRate will issue written notice if your listings fall below acceptable market standards
- You have 15 days to improve quality or revise pricing after receiving such notice
- Failure to improve may result in delisting of your products
11. Data & Privacy
- All data is managed in accordance with ChallengeRate's Privacy Policy
- Buyer information obtained through the Platform may only be used for order fulfilment
- Sharing customer data with third parties for any purpose is strictly prohibited
- Any data security breach must be reported to ChallengeRate within 24 hours of discovery
12. Performance Monitoring
ChallengeRate continuously monitors Manufacturer performance across the following metrics:
- Order acceptance rate and response time
- Dispatch punctuality and delays
- Product quality and return rate
- Buyer ratings and review scores
- Communication quality and responsiveness
Poor performance will result in warnings, restrictions, or termination. Excellent performance may qualify for promotional benefits and featured placement on the Platform.
13. Liability
You retain full legal liability for all products sold through the Platform. ChallengeRate operates solely as a marketplace facilitator and is not responsible for product quality, fitness for purpose, or any claims arising from product-related issues. ChallengeRate's total aggregate liability to you is limited to the commission paid by you in the 3 months immediately preceding the claim.
14. Dispute Resolution
Level 1 – Mutual Resolution
Manufacturer and Buyer attempt to resolve directly within 48 hours
Level 2 – Platform Mediation
ChallengeRate mediates and provides a binding decision within 7 business days
Level 3 – Arbitration
Conducted under Indian Arbitration law; place of arbitration: Ahmedabad, Gujarat
15. Account Suspension & Termination
15.1 Grounds for Suspension
- Serious breach of any term of this Agreement
- Repeatedly poor performance metrics
- Suspected fraud or misrepresentation
- Serious misconduct in Buyer interactions
- Legal requirement or regulatory direction
15.2 Platform-Initiated Termination
- 30 days written notice will be provided for permanent termination (except in cases of serious violations)
- Pending payments will be settled within 90 days of termination
- All listings will be removed upon termination
15.3 Manufacturer-Initiated Closure
- You may close your account by providing 30 days written notice
- All pending orders must be fulfilled before account closure is processed
16. Amendments
ChallengeRate reserves the right to amend these Terms at any time. Notice of 30 days will be provided for significant changes and 7 days for minor updates. Continued use of the Platform after the notice period constitutes acceptance of the revised Terms.

This document supersedes all prior agreements between the parties

19. Acceptance of Agreement
By registering as a Manufacturer on ChallengeRate, you confirm that you have read, understood, and fully accept all terms and provisions of this Agreement. You warrant that you have the legal authority to enter into this Agreement on behalf of your business entity, and that your electronic acceptance is as legally valid and binding as a physical signature.
