1. ABOUT THIS AGREEMENT


This document governs the relationship between ChallengeRate (referred to as "Platform", "we", "us" or "our") and manufacturers (referred to as "Manufacturer", "you" or "your") who list and sell products on our platform.

2. DEFINITIONS


2.1 "Platform" means the ChallengeRate website, mobile applications, and all related services.

2.2 "Products" means goods or stock listed by the Manufacturer for wholesale sale on the Platform.

2.3 "Buyer" means retailers, bulk buyers, or other business entities who purchase products through the Platform.
2.4 "Order" means a purchase request placed by a Buyer for the Manufacturer's listed products.

2.5 "Transaction" means the complete process from order placement to payment settlement.

2.6 "Commission" means the service fee charged by the Platform for facilitating transactions.

3. MANUFACTURER ELIGIBILITY AND REGISTRATION


3.1 Eligibility Requirements


You must meet the following criteria:

• Be a registered business entity within India with valid GST registration

• Have legal authority to manufacture and/or distribute the listed products

• Be at least 18 years old (or legal adult age in your jurisdiction)

• Provide accurate and complete business information


3.2 Account Registration


You agree that you will:

• Provide true, accurate, current, and complete information during registration

• Update your account information promptly to maintain accuracy

• Maintain the security of your account credentials

• Immediately notify us of any unauthorized access

• Be fully responsible for all activities under your account


3.3 Verification


ChallengeRate reserves the right to verify your business documents including GST registration, licenses, and manufacturing certificates.

4. MANUFACTURER RESPONSIBILITIES


4.1 Product Listing


You agree that you will:

• Provide complete and accurate product information (description, specifications, images, and pricing)

• Use clear, authentic images that accurately represent the actual product

• List products in appropriate categories

• Maintain real-time stock information

• Update availability immediately

• Strictly comply with all applicable laws


4.2 Product Quality and Authenticity


You warrant that:

• All products are 100% genuine and not counterfeit

• Products strictly comply with all quality standards and regulations

• Products are safe and properly labeled

• You have all necessary rights and permissions for sale

• Products do not infringe on any third-party intellectual property rights


4.3 Pricing and Stock


You agree that you will:

• Set competitive and transparent wholesale prices

• Honor the displayed price at the time the order is placed

• Clearly maintain minimum order quantity (MOQ)

• Provide 24 hours advance notice of price changes

• Always maintain adequate stock


4.4 Order Fulfillment


You agree that you will:

• Process orders within 24 hours of confirmation

• Provide secure and robust packaging

• Ship within the specified timeframe

• Provide accurate and updated tracking information

• Ensure products arrive in proper condition


4.5 Customer Communication


You agree that you will:

• Respond to all buyer inquiries within 24 hours

• Always maintain professional and courteous conduct

• Not share personal contact information for off-platform transactions

• Handle complaints promptly and professionally

5. PROHIBITED ACTIVITIES


You shall not engage in the following activities:

• List illegal or prohibited products

• Commit fraud or misrepresentation

• Manipulate reviews or ratings

• Attempt to avoid platform fees

• Misuse buyer information

• Solicit direct transactions outside the platform

• Upload harmful content

• Violate any laws

• Infringe on others' intellectual property rights

• Engage in price manipulation or anti-competitive practices

6. PLATFORM SERVICES AND COMMISSION


6.1 Platform Services


ChallengeRate provides the following services:

• Online B2B marketplace infrastructure

• Secure payment processing and escrow service

• Direct access to verified buyers

• Marketing and promotional support

• Order management dashboard

• Dispute resolution system

• Analytics and reporting tools

• Dedicated customer support


6.2 Commission Structure


• ChallengeRate charges commission on each successful transaction

• Commission is based on total order value (excluding shipping and taxes)

• Commission will be automatically deducted from payments

• Specific rates will be clearly communicated during onboarding

• Special rates may apply for promotional programs

• 30 days advance notice will be provided if commission rates change


6.3 Additional Fees


• Additional fees may be charged for premium services

• Such fees will be clearly communicated in advance

• Payment gateway charges may apply separately

7. PAYMENT TERMS


7.1 Payment Process


• All payments are processed through a secure escrow system

• Payments are released after successful delivery and buyer acceptance

• Settlement typically occurs within 7-14 business days

• Payments will be made to your bank account via NEFT/RTGS/IMPS/UPI

• Timeline may vary based on seller level and performance


7.2 Payment Hold


Payments may be temporarily held in the following circumstances:

• Active dispute is ongoing

• Suspected fraud

• Serious policy violation

• Refund process is underway

• Legal requirement


7.3 Tax Compliance


• You are fully responsible for all applicable taxes including GST

• Reports required for tax filing will be available on the platform

• Issuing valid tax invoices as per Indian law is mandatory

8. RETURNS, REFUNDS AND CANCELLATIONS


8.1 Return Policy


• Returns must be accepted for defective, damaged, or incorrect deliveries

• A 7-14 day window typically applies after delivery

• Shipping costs for quality-related returns must be borne by the manufacturer

• For other reasons, the buyer may be responsible


8.2 Refund Process


• Refunds must be provided within 7 business days after goods are received and verified

• Refunds will be processed through the original payment method

• Clear reason must be provided for partial refunds


8.3 Order Cancellation


• Orders may be cancelled before shipping under special circumstances

• Penalties may apply for frequent or inappropriate cancellations

• Complete information and reason for cancellation is mandatory

9. INTELLECTUAL PROPERTY


9.1 Your Content


• You retain ownership rights to product images, descriptions, and brand content

• You grant us a worldwide, non-exclusive license for platform use and marketing

• You warrant that you have full rights to use this content


9.2 Platform Content


• ChallengeRate retains full rights to the website, design, software, and content

• Any use without written permission is strictly prohibited


9.3 Trademark Usage


• ChallengeRate trademarks, logos, or brand may not be used without written permission

10. IMPORTANT AND MANDATORY CONDITIONS


10.1 Transportation and Damage Liability


If goods sent to customers are damaged during transport or delivery:

• If damage is due to packaging defects, the manufacturer is fully responsible

• If damage is due to delivery partner error, the delivery partner is responsible

• ChallengeRate assumes no financial liability in such cases

• The manufacturer bears full responsibility for proper packaging


10.2 Credit Sales Policy


If the manufacturer provides goods to buyers on credit (Credit system):

• Full financial responsibility for all such transactions remains with the manufacturer

• ChallengeRate assumes no liability for credit transactions

• ChallengeRate will not provide any compensation if payment is not received

• Credit verification of buyers is advised before extending credit


10.3 Platform Bypass and Penalty Policy


If the manufacturer conducts direct transactions with customers obtained through ChallengeRate, bypassing the platform:

• This will be considered a serious breach of the agreement

• The missed commission amount plus penalty will be charged

• Penalty amount may be 3 times the missed commission

• Immediate account suspension or termination may occur

• ChallengeRate reserves the right to initiate legal proceedings


10.4 Sampling and Marketing Policy


For marketing of products listed on ChallengeRate:

• Providing samples to prospective customers is the manufacturer's responsibility

• Sample costs and courier charges will be determined between manufacturer or customer

• ChallengeRate is not responsible for any sampling expenses

• Samples must be of proper quality and match listed descriptions


10.5 Order Acceptance Timeframe


After receiving a customer order:

• Accepting or rejecting the order within 24 hours is mandatory

• Acceptance or rejection must include a clear reason

• Products of manufacturers who repeatedly fail to respond timely may be unlisted

• 3 instances of delayed response will result in a warning

• Account suspension may occur if improvement is not made after warning


10.6 Dispatch Timeframe


After accepting an order:

• Dispatching goods within the specified timeframe is the manufacturer's responsibility

• Manufacturers who repeatedly delay dispatch may be subject to penalties

• Products may be unlisted after 3 instances of inappropriate delays

• Timely dispatch is essential for excellent seller rating


10.7 Return Acceptance Policy


For products returned by customers:

• Acceptance within the specified timeframe is mandatory

• Returns cannot be refused without valid reason

• Status must be checked and updated within 48 hours of receiving returns

• Penalties may apply for repeatedly refusing returns


10.8 Quality Issues and Return Costs


If quality issues are found in products sent to customers:

• The manufacturer must bear the complete cost of sending and receiving returned products

• Full refund is mandatory if poor quality is confirmed

• Account may be suspended for repeated quality issues


10.9 Sample Verification Mandatory

For new product listings:

• Sending a sample to ChallengeRate within 3 business days of uploading products is mandatory

• Sample is required for quality and pricing verification

• Product listing will not be approved without timely sample submission

• Courier costs for the sample must be borne by the manufacturer

• Listing will become active within 5 business days after receiving the sample


10.10 Customer Conduct


In interactions with customers:

• Always maintaining professional, courteous, and cooperative conduct is mandatory

• Use of rude, insulting, or inappropriate language is strictly prohibited

• Immediate and positive response to customer complaints is mandatory

• Account may be immediately suspended for poor conduct with customers

• Permanent ban may be imposed after 2 serious complaints


10.11 Complete Liability Clause

• Trade of goods occurs directly between manufacturer and customer

• ChallengeRate only provides platform facilities

• ChallengeRate will help as a mediator in case of any disputes or conflicts

• ChallengeRate reserves the right to charge appropriate costs for mediation services

• ChallengeRate's terms shall be binding for final decisions


10.12 Quality and Pricing Maintenance Policy


Regarding quality and pricing of listed products:

• Maintaining consistent quality and pricing over time is the manufacturer's responsibility

• If another manufacturer offers better quality or pricing, ChallengeRate will provide you written notice

• Quality must be improved or pricing made competitive within 15 days of receiving notice

• If improvement is not made, ChallengeRate may unlist your products and give opportunity to new manufacturers

• This decision will be made in business interest and will be final

11. DATA AND PRIVACY

11.1 Data Security


• All data will be managed according to ChallengeRate's privacy policy

• Buyer information may only be used for order fulfillment

• Sharing customer information with third parties is strictly prohibited


11.2 Security Breach


• Reporting any data security breach to ChallengeRate within 24 hours is mandatory

• You will be fully responsible for security breaches

12. QUALITY CONTROL AND MONITORING


12.1 Performance Monitoring


ChallengeRate will continuously monitor the following factors:

• Order acceptance rate and time

• Dispatch time and delays

• Product quality and customer satisfaction

• Return and refund rate

• Customer ratings and reviews

• Response time and communication quality


12.2 Performance Consequences


• Warning and improvement time will be provided for poor performance

• Restrictions may be imposed for consistently poor performance

• Special benefits and promotions may be offered for excellent performance

13. LIABILITY AND WARRANTY


13.1 Manufacturer Liability


• You remain fully legally liable for all products sold

• You will be responsible for any legal claims related to products

• Maintaining product liability insurance is recommended


13.2 Platform Liability Limitation


• ChallengeRate is merely a marketplace facilitator

• ChallengeRate is not responsible for product quality

• ChallengeRate's total liability is limited to the commission you have paid

14. DISPUTE RESOLUTION


14.1 First Level - Mutual Resolution


• In case of any dispute, first attempt direct communication and resolution between manufacturer and buyer

• Notify ChallengeRate if resolution is not achieved within 48 hours


14.2 Second Level - Platform Mediation


• ChallengeRate will collect information from both parties

• Will attempt to provide impartial decision within 7 business days

• Decision will be binding


14.3 Third Level - Arbitration


• If resolution is not achieved through platform mediation, arbitration route must be taken

• Arbitration will be conducted according to Indian law and Arbitration Act

• Place of arbitration will be Ahmedabad, Gujarat

15. ACCOUNT SUSPENSION AND TERMINATION


15.1 Suspension Reasons


Your account may be suspended under the following circumstances:

• Serious violation of agreement terms

• Repeatedly poor performance

• Suspected fraud or misrepresentation

• Inappropriate conduct with customers

• Legal requirements


15.2 Termination Process


• 30 days notice will be provided for permanent termination (except in cases of serious violations)

• Pending payments will be settled within 90 days after termination

• All your listings will be removed


15.3 Termination by You


• You may close your account at any time by providing 30 days notice

• Completing pending orders remains mandatory

• Pending payments will be settled

16. AMENDMENTS TO AGREEMENT


16.1 Right to Amend


• ChallengeRate reserves the right to amend these terms at any time

• 30 days advance notice will be provided for significant changes

• 7 days notice will be sufficient for minor changes


16.2 Amendment Acceptance


• Continuing to use the platform after notice means accepting the changes

• You may close your account if the changes are not acceptable

17. GENERAL PROVISIONS


17.1 Entire Agreement


• This document is the complete agreement between you and ChallengeRate

• All prior understandings or agreements are superseded by this


17.2 Governing Law

• This agreement shall be governed by Indian law

• Jurisdiction for disputes shall be Ahmedabad, Gujarat


17.3 Nature of Relationship


• This agreement does not create any partnership, agency, or employment relationship

• You work as an independent contractor


17.4 Severability


• If any provision is invalid, the remaining provisions shall remain valid


17.5 No Waiver


• Non-exercise of any right shall not be considered a waiver

19. ACCEPTANCE OF AGREEMENT


19.1 Electronic Acceptance


When registering as a manufacturer on ChallengeRate, you electronically accept these terms and you warrant that:

• You have carefully read and understood this entire document

• You fully accept all terms and provisions

• You have legal authority to enter into this agreement on behalf of your business

• Your electronic acceptance is as legally valid and binding as physical signature


19.2 Proof of Acceptance


• Your registration process is proof of acceptance

• No physical signature is required

• Your login activity confirms acceptance
